SFC issues new guidance to help securities issuers prepare for upcoming uncertificated securities market regime
On 29th May 2026,The Securities and Futures Commission (SFC) issued a comprehensive Guidance Note outlining corporate obligations ahead of the uncertificated securities market (USM) regime launch on November 16, 2026. Crucially, securities issuers must review and amend their articles of association to guarantee regulatory alignment. To facilitate compliance, the SFC has provided sample provisions, mandating that these structural amendments be finalized by November 16, 2027, or the issuer’s first post-launch annual general meeting.
Additionally, participating entities are required to maintain an approved securities registrar at all times. In tandem, the Stock Exchange of Hong Kong Limited released a supplementary guide regarding Listing Rule compliance. Consequently, early operational engagement is highly recommended to mitigate transition risks and ensure seamless capital market integration.
